Naked Wines Terms and Conditions
Naked Wines provides a structured auction platform for Suppliers (i.e. holders of an appropriate liquor license) to sell their products online. Naked Wines is not the buyer or seller of products and does not otherwise participate in any product sale transaction (as principal, agent or in any other capacity) apart from providing a mechanism for you to make payment for products and facilitating the provision of any customer service that you may require.
In order to participate in the Naked Wines auction website you need to become a member of the website and subsequently be logged onto the website in order to place bids.
Membership
Membership is free.
You must be 18 years or over and resident in New Zealand.
When you become a member of Naked Wines in order to bid on the website’s auctions will be required to provide certain information.
You agree and warrant that:
(a) You will not use any false identities or personas and must provide us with your full legal name and current details;
(b) All information provided by you will be true and correct in all respects at the time it is given;
(c) You are responsible for ensuring that all information which is necessary to process any successful auctions is kept up to date at all times, and will provide details of any changes to Naked Wines.
You have sole responsibility for keeping log-in information confidential and secure.
You agree to your username and the amount of your bid being shown on the Naked Wines website. Your email details will be provided to the seller. You also agree that further information provided by you can be used by Naked Wines to facilitate any queries arising from your use and membership of the website.
You must be 18 years of age or over to bid on any product listed on the Website. By submitting a bid for liquor, you confirm that you are 18 years of age or over, and the Supplier may require that you verify this. You indemnify us and each Supplier from whom you order liquor against any loss, damage, expense, claim or fine resulting from any misrepresentation of your age or other failure to comply with this requirement.
You must act in good faith toward the website.
You must not use the website for communication with Suppliers with a view to engaging in purchase activities with Suppliers otherwise than through the website.
You will have sole responsibility for keeping your login information (including your user name, email address and password) confidential and secure and you agree not to permit any other person to use your user name; and not to disclose, or provide to any other person, your user name, email address or password.
Continued use of the website and termination of membership.
Your use of the Naked Wines website and it’s membership is subject to ongoing vetting and authorisation by Naked Wines and we reserve the right to terminate your membership or ban you from using the website at any time for any reason. We also reserve the right to decline to register your membership at our discretion. This also applies to the termination of your membership. Without limiting the circumstances in which we may take such action, we may do so if, for example, you commit any breach of these terms and conditions, if you are unable to honour any auction transactions you are legally obliged to fulfil, if you commit any crime in the course of your Naked Wines membership or if we receive any complaints about your use of Naked Wines from other Members or Suppliers.
Auctions
You must be a Naked Wines Member to place a bid, and you must also be logged-in.
You can place as many bids as you like, on as many different auctions as you like.
Your bids are not retractable once the auction has closed. You must only place a bid if you intend to buy the relevant item at the bid price entered.
If you are notified that your bid has been successful, you must complete the transaction in the manner specified, using Naked Wines online credit card gateway facility. By making a bid, you warrant and represent that you have the legal right to enter into and complete the transaction.
Your credit card details will be captured at the time you pay for a successful bid. This payment will be processed automatically at that time. Naked Wines does not retain any of this credit card information.
When you give Naked Wines your credit card (or debit card) details you are confirming that you are either the card holder, or that you have permission from the card holder to use the card for the purposes of purchasing liquor. You must be 18 years or older to purchase liquor (see above)
You must make full and prompt payment once you are notified that your bid on a particular auction has been successful.
Feedback provided by you must not include defamatory, offensive or inappropriate language. Naked Wines reserves the sole right to deem what language is considered inappropriate, offensive or defamatory.
At your own risk
Naked Wines is an auction website allowing registered Sellers to provide products for registered Members to bid on or purchase directly (depending on the nature of the transaction). Transactions as well as all other contact between you and other Members (including Sellers) are conducted entirely at your own risk. You agree that Naked Wines takes no responsibility or liability for any misconduct of any of its members including, without limitation, members that have registered under false pretences or who attempt to defraud you. Naked Wines gives no undertakings, representations, or warranties in relation to items sold or listed on the website.
Complaints
Naked Wines will endeavour to liaise between the Supplier and buyer in the event of complaint from either party but reminds both Sellers and buyers that responsibilities by either party, as detailed in these terms and conditions, are legally binding
Sellers
Naked Wines charges fees for the placement of items on the website and for the successful completion of any transaction derived from that placement. Please see ‘Selling on Naked Wines’ for details of these fees.
These fees are subject to change at any time and will be implemented at the time of change.
In order to place items for auction on the Naked Wines website you must first:
a) Become a member of Naked Wines by completing the registration page.
b) Contact Naked Wines directly so that your Sellers account can be activated.
c) By activating your Sellers account you must abide to all the terms and conditions detailed under ‘Naked Wines Terms & Conditions’
Seller’s requirements
You must hold an appropriate off premise license allowing you to sell alcohol to the public for consumption off premise.

If you only hold an on-premise license please contact us if you wish to place products on Naked Wines.
All products listed must be priced in New Zealand Dollars and include GST. All tax implications are the responsibility of the Seller.
You will only enter listings that are accurate, current, complete, and include all relevant information about the terms of sale, shipping methods and who bears the cost of shipment.
Seller’s responsibilities
Once Naked Wines receives payment for a successful auction we will notify you and you must arrange delivery of product, in accordance with shipping method detailed in the products biography. This should be done within a reasonable timeframe.
When you list an item for auction on Naked Wines, you should do so with the intention of selling this item through the site. If you remove a listing for an auction you will incur a non-refundable withdrawal fee, regardless of the reason.
The Seller has sole responsibility for product liability. Naked Wines will endeavour to liaise between the Supplier and buyer in the event of complaint from either party but reminds both Sellers and buyers that responsibilities by either party, as detailed in these terms and conditions, are legally binding.
You must not complete a transaction outside of the Naked Wine process or otherwise seek to avoid Naked Wines success fees. Attempts to do this are a breach of these Terms and Conditions and may result in termination of your Naked Wines membership.
Payment Conditions
Naked Wines receives payments for all transactions on the website. Payment to the Supplier is done at the beginning of every calendar month via bank transfer. The amount debited to the Suppliers account is the appropriate sale price minus the appropriate fees. Only completed transactions will be debited at the beginning of the month.
Acceptance of Terms and Conditions
By searching on the Website and purchasing products over the Website you accept, and agree to be bound by, these terms and conditions.
Amendment of Terms and Conditions
Naked Wines may amend these terms and conditions at any time by posting amended or replacement terms and conditions on the Website. Amendments will take effect immediately on posting on the Website and it is your responsibility to ensure that you are familiar with the content of the latest version of the terms and conditions at all times. By continuing to use the Website you agree to be bound by any amendments to the terms and conditions made since your last use.
Privacy
Naked Wines collects personal information about you via the website registration page (plus extra registration details for Sellers) as well as information relating to your use of the website.
You agree to let Naked Wines use this information for internal research and to send you emails. You also agree to let your trading history being published on the website.
Intellectual Property Rights
Naked WinesNZ, referred throughout these Terms and Conditions as Naked Wines, is owned by the Wine Vault and includes all proprietary and intellectual property rights of the website.
